Service

1. Agreement to Terms

By accessing or using Movemative (the "Service"), operated by Paldesk d.o.o., Zagreb, Croatia ("Paldesk", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms, and the word "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Movemative is a software-as-a-service (SaaS) platform that assists businesses in preparing, managing, and tracking cross-border waste shipment documentation in accordance with Regulation (EU) 2024/1157 and related EU legislation. The Service includes tools for creating shipment notifications, eCMR documents, Annex VII filings, and integration with the EU Digital Waste Shipment System (DIWASS) where applicable.

The Service is intended for use by businesses ("Operators") involved in the cross-border transport, import, export, or treatment of waste. It is not intended for consumer use.

3. Accounts and Organisations

Access to the Service is provided through an organisation account. You must provide accurate registration information and keep it up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials. You must notify us immediately at hello@movemative.com if you suspect unauthorised access to your account.

You may invite team members to your organisation. You are responsible for ensuring that all users in your organisation comply with these Terms.

4. Subscription, Credits, and Billing

The Service operates on a subscription and credit-based model. Subscriptions and one-time credit purchases are processed by Paddle.com Market Limited ("Paddle"), who acts as Merchant of Record for all transactions. When you make a purchase, you are entering into a transaction with Paddle, subject to Paddle's Terms of Service. Paddle handles all billing, invoicing, and tax obligations.

Credits are consumed when you create and submit shipment documents through the Service. Credits are non-transferable between organisations. Unused credits on a free or starter plan do not expire; unused credits on paid plans are subject to the terms of that plan.

Refunds: Subscription fees are non-refundable except where required by applicable law or as expressly stated in your plan terms. Credit purchases are non-refundable once consumed. If you believe a charge was made in error, contact us within 30 days at hello@movemative.com.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

• Submit false, misleading, or fraudulent shipment documentation
• Facilitate illegal waste shipments, or shipments of waste prohibited under the Basel Convention, EU law, or applicable national law
• Attempt to gain unauthorised access to DIWASS or any competent authority system
• Reverse engineer, decompile, or copy any part of the Service
• Use the Service in a way that violates any applicable law or regulation
• Transmit malicious code, conduct denial-of-service attacks, or interfere with the integrity or performance of the Service

Violation of this section may result in immediate suspension or termination of your account without refund.

6. Your Data

You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited licence to store, process, and transmit Customer Data solely to provide and operate the Service.

We do not sell Customer Data to third parties. We may share Customer Data with sub-processors (including DIWASS, cloud infrastructure, and authentication providers) as necessary to provide the Service. A list of sub-processors is maintained in our Privacy Policy.

Upon termination of your account, we will make Customer Data available for export for 30 days, after which it will be deleted in accordance with our data retention policy, unless a longer retention period is required by law.

7. Service Availability and Support

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control (including DIWASS outages). We will endeavour to communicate planned maintenance in advance.

The Service relies in part on the availability of DIWASS and national competent authority systems operated by the European Commission and EU Member States. We are not responsible for the availability, accuracy, or decisions of DIWASS, competent authorities, or any other third-party regulatory system. Delays or rejections originating from these systems do not constitute a breach of these Terms.

8. Intellectual Property

All rights in the Service, including software, design, trademarks, and documentation, are owned by Paldesk d.o.o. or its licensors. These Terms do not transfer any intellectual property rights to you. You may not use our name, logo, or trademarks without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Paldesk d.o.o. and its officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or regulatory fines, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

Nothing in these Terms limits our liability for fraud, gross negligence, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.

10. Termination

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access to the Service immediately if you breach these Terms, if required by law, or if we discontinue the Service. We will provide reasonable notice of discontinuation where practicable.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Croatia, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Zagreb, Croatia, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
